Terms of Service

1. Agreement to Terms

By engaging Glivera ("we", "us", "our") for automation consulting and development services, you ("Client", "you") agree to these Terms of Service. These terms govern all engagements, proposals, and deliverables unless superseded by a separate written agreement.

2. Services Description

Glivera provides automation consulting, workflow development, AI agent system design, and related technology services. The specific scope, deliverables, and timeline for each engagement are defined in a project proposal or statement of work ("SOW") agreed upon before work begins.

3. Client Obligations

You agree to: (a) provide timely access to systems, accounts, and data necessary for the engagement; (b) designate a primary point of contact authorized to make project decisions; (c) review and provide feedback on deliverables within 5 business days of submission; (d) maintain valid licenses for all third-party tools included in the automation scope.

4. Payment Terms

All engagements are flat-rate as defined in the SOW. Payment schedule: 50% upon SOW signature, 50% upon delivery and acceptance. Invoices are due within 14 days of issuance. Late payments accrue interest at 1.5% per month. Travel expenses, if any, are billed at cost with prior approval.

5. Intellectual Property

Upon full payment, all custom code, workflows, and automation assets created during the engagement are assigned to the Client. Glivera retains the right to use general knowledge, techniques, and non-proprietary patterns developed during engagements. Pre-existing intellectual property (templates, libraries, frameworks) remains owned by Glivera and is licensed to the Client for use within the delivered system.

6. Limitation of Liability

Glivera's total liability for any engagement shall not exceed the total fees paid for that engagement. In no event shall Glivera be liable for indirect, incidental, consequential, or punitive damages, including lost profits, data loss, or business interruption, regardless of the theory of liability.

7. Termination

Either party may terminate an engagement with 14 days written notice. Upon termination: (a) Client pays for all work completed through the termination date; (b) Glivera delivers all work-in-progress and documentation; (c) access credentials are transferred or revoked as appropriate.

8. Governing Law

These terms are governed by the laws of the State of Delaware, United States. Any disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association.
